These Terms of Service ("Terms") govern your access to and use of Helstify, a platform operated by Helstify ("Helstify", "we", "us", or "our"). Helstify lets you describe a business idea in plain language and then uses AI agents to validate it, suggest a name, register a domain, provision hosting and mailboxes, build a website and back end, and, on eligible plans, autonomously operate the resulting business on your behalf. By creating an account, purchasing a plan, or otherwise using Helstify, you agree to these Terms.
1. Acceptance of these Terms
By accessing or using Helstify you confirm that you have read, understood, and agree to be bound by these Terms and by our Acceptable Use Policy, which is incorporated here by reference. If you are using Helstify on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation. You must be at least 18 years old and legally able to enter into a contract. If you do not agree to these Terms, you may not use Helstify.
2. Description of the service
Helstify provides an autonomous "business operating system". Depending on your plan, the service may include:
- AI-assisted validation of a business idea, scored across multiple dimensions;
- name suggestions checked against live domain and, where offered, social and trademark availability;
- domain registration, DNS, and TLS configuration;
- hosting of a website, back end, and database in an isolated container per business;
- mailboxes and transactional email sending for your domains;
- a build environment in which a connected AI coding agent creates and maintains your site and back end;
- an "AI council" of role-based agents (for example CEO, CTO, CMO, CFO, COO, and a testing and reviewing role) that, on eligible plans, can operate your business and make changes to your servers, mail, and connected tools within the scopes you grant; and
- integrations with third-party services you choose to connect.
Helstify is a new product and is provided on an evolving basis. Validation scores, name suggestions, and any projections, illustrations, or example outcomes are informational only, are not advice, and are not guarantees of results. You are solely responsible for deciding whether to proceed with any idea, name, domain, or business, and for the legality and viability of what you choose to build and operate.
3. Accounts and security
You must provide accurate account information and keep it current. You are responsible for all activity under your account, including activity by any team members, collaborators, or agents you authorise. You must keep your credentials secure and notify us promptly of any unauthorised use. We may suspend or limit access where we reasonably believe an account is compromised, is being used in breach of these Terms or the Acceptable Use Policy, or presents a risk to Helstify, other customers, or third parties.
Your plan defines quantitative limits, including the number of businesses, domains, mailboxes, and idea validations, together with the compute, memory, and storage allocated to each business. These limits are enforced, and metered usage above your plan's allowances (including agent run-time and compute) may be billed as described at checkout or in your panel. Details of current plans and limits are set out on our pricing page and in your account.
4. Billing and payment
Paid plans are billed in advance on a monthly or annual basis in US dollars, at the rates shown at the time of purchase, including any launch or promotional discount then in effect. Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled. You authorise us and our payment processors to charge your chosen payment method for all fees, including recurring fees and any metered overages.
Domain registration and renewal are billed separately from your subscription, at cost plus a margin, and are subject to the registry's and registrar's own terms; domain fees are generally non-refundable once a domain is registered or renewed. Certain third-party services and AI usage may be billed by the relevant provider directly to you rather than by us.
We accept the payment methods shown at checkout, which may include cryptocurrency. Cryptocurrency payments are, by their nature, generally irreversible; you are responsible for sending the correct amount, on the correct network, to the correct address, and we are not liable for losses arising from network errors, wrong addresses, exchange-rate movement, or delays outside our control. You are responsible for any taxes applicable to your purchase other than taxes on our income. Except where required by law or expressly stated, fees are non-refundable. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Full detail is set out in our Refund & Billing Policy.
5. AI agents, autonomy, and your responsibility
This is the most important section of these Terms. Helstify's agents and AI council can take real actions in the world on your behalf. Depending on the scopes you grant and the plan you hold, those actions can include writing and deploying code to your servers, changing DNS and configuration, sending and replying to email from your mailboxes, publishing content, running marketing and advertising, connecting and operating third-party tools, and adjusting settings and pricing for your business.
You acknowledge and agree that:
- Agents act as your agent. When you instruct Helstify to operate a business, or grant an agent a scope, actions taken within that scope are taken on your behalf and are your responsibility as if you had taken them yourself.
- You control the scopes. Agent access to your servers, mail, and connected tools is scoped and revocable. You are responsible for reviewing the scopes you grant, monitoring the audit log of agent actions we provide, and revoking or narrowing access if it is not what you want. Autonomous operation is off by default on plans that do not include it and is enabled by you where available.
- AI is imperfect. AI systems can be wrong, can misinterpret instructions, can produce inaccurate, biased, infringing, or unsafe output, and can behave unpredictably. You must not rely on agents for outcomes without appropriate human oversight, and you must not use them for high-stakes decisions where an error could cause serious harm.
- You remain the operator of your business. You are responsible for the legality, licensing, tax, regulatory, consumer-protection, data-protection, and other compliance obligations of the business you run through Helstify, and for any communications, transactions, or content it produces, whether created by you or by an agent acting for you.
- You bring the compute. On most plans you connect your own third-party AI plan or API key (for example Claude Code, Codex, or Antigravity). You are responsible for that account, its usage, its costs, and compliance with that provider's terms; Helstify drives it on your behalf within the permissions you grant.
We provide tooling such as rate limits, scopes, and audit logs to help you supervise agents, but these are aids, not guarantees, and they do not transfer responsibility for agent actions from you to us.
6. Third-party services and AI providers
Helstify integrates and interoperates with third-party services, including AI providers, domain registrars, email infrastructure, payment processors, and the many tools you may connect. Your use of those services is governed by their own terms and privacy policies, and their availability, pricing, and behaviour are outside our control. We are not responsible for third-party services, for changes to or discontinuation of them, or for any acts or omissions of their providers. Connecting a third-party service authorises Helstify and your agents to access and operate it within the scopes you grant.
7. Intellectual property
Your business and content. As between you and Helstify, you own the business you create, your domain, the code, site, data, and content generated for your business, and your customer relationships, subject to your payment of applicable fees and to the terms of any third-party services and AI providers involved in producing them. You can export or transfer your domain, code, and data. To the extent any AI-generated output carries rights we might otherwise hold, we assign those rights to you so that your business content is yours.
The Helstify platform. As between you and us, we and our licensors own the Helstify platform, including its software, agent orchestration, panel, capability catalogue, designs, trademarks, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the platform during your subscription, solely as permitted by these Terms. You may not copy, resell, reverse engineer, or create derivative works of the platform itself, except as permitted by law.
Your licence to us. You grant us the limited rights to host, process, transmit, and modify your content and credentials as necessary to operate the service for you, including allowing agents to act within your scopes. We may use aggregated or de-identified operational data to maintain and improve the service.
8. Disclaimers of warranty
Helstify is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or that agent actions, validations, or generated output will be accurate, complete, lawful, or fit for your purposes. Any service levels or uptime targets apply only where expressly stated in a written agreement with us; marketing statements are not commitments. You are responsible for maintaining your own copies of anything important to you; all business data resides on our infrastructure and off-site backup is your responsibility unless we agree otherwise in writing.
9. Limitation of liability
To the maximum extent permitted by law, Helstify and Helstify, and our officers, employees, and suppliers, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, or for the acts or output of AI agents acting on your behalf, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to Helstify or these Terms will not exceed the greater of (a) the total fees you paid to us for the service in the three months immediately before the event giving rise to the liability, or (b) one hundred US dollars (US$100). Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
10. Indemnity
You will defend, indemnify, and hold harmless Helstify and Helstify and our officers, employees, and suppliers from and against any claims, damages, liabilities, losses, and reasonable costs (including legal fees) arising out of or relating to: (a) your use of the service; (b) the business you run through it and any content, communications, or transactions it produces, including those created by agents acting on your behalf; (c) your breach of these Terms or the Acceptable Use Policy; (d) your violation of any law or of any third party's rights, including intellectual property, privacy, and consumer-protection rights; and (e) your use of third-party services and AI providers.
11. Suspension and termination
You may cancel your subscription at any time from your account. We may suspend or terminate your access, or remove or disable specific businesses, domains, mailboxes, or content, where we reasonably believe you have breached these Terms or the Acceptable Use Policy, where required by law or a third-party provider, where non-payment occurs, or where continued operation presents a security, legal, or abuse risk. Where practicable and lawful we will give notice and an opportunity to remedy. On termination your licence to use the platform ends; we will make reasonable efforts to allow you to export your domain, code, and data for a reasonable period, after which we may delete it. Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitation of liability, and indemnity) will survive.
12. Governing law and disputes
These Terms are governed by the laws of [jurisdiction — to be confirmed], without regard to conflict-of-laws principles, and the courts of [jurisdiction — to be confirmed] will have exclusive jurisdiction over any dispute, subject to any mandatory rights you have as a consumer under the law of your place of residence.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the "Last updated" date and, where appropriate, notify you. Changes take effect when posted, or on a later effective date if we specify one. Your continued use of Helstify after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the service and may cancel.
14. General
These Terms, together with the Acceptable Use Policy and any order or plan details, are the entire agreement between you and us regarding the service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Notices to you may be given through the service or by email.
